Version dated 01 June 2026

This Public Offer Agreement (hereinafter the “Agreement” or the “Offer”) is the official proposal of Individual Entrepreneur Yuliia Zuieva (Ukrainian individual tax number (RNOKPP): 2824208444; hereinafter the “Provider”) to enter into an agreement for the provision of services on the terms set out below with any fully legally capable natural person who accepts this Offer (hereinafter the “Client”).

Pursuant to Articles 633, 641 and 642 of the Civil Code of Ukraine, this document constitutes a public offer. Full and unconditional acceptance of its terms is the Client’s payment for the Provider’s services in the manner set out in this Agreement. From the moment of acceptance, the Agreement is deemed concluded, and the Client is deemed to have read and agreed to all of its terms.

1. General Provisions

1.1. This Offer is addressed to an unlimited number of adult, legally capable natural persons.

1.2. The Client accepts the terms of the Offer in their entirety; acceptance on other terms is not permitted.

1.3. The version of the Offer published at www.zoueva.com as of the date of acceptance is the one in force.

2. Subject of the Agreement

2.1. The Provider provides the Client with services in the form of individual consultation sessions, and the Client accepts and pays for them under the terms of this Agreement.

2.2. Services are provided in person or remotely (online, using video communication tools), as agreed between the parties.

2.3. The specific date, time and number of sessions are agreed between the parties by individual arrangement — by email or messenger.

3. Conclusion of the Agreement

3.1. Acceptance of the Offer and the moment of conclusion of the Agreement is the Client’s payment for the services.

3.2. By making payment, the Client confirms that they are of legal age, fully legally capable, and have read the terms of this Offer before payment.

4. Cost of Services and Payment Procedure

4.1. The cost of services and the payment procedure are agreed between the parties individually (by arrangement) before the services are provided.

4.2. Payment is made directly after the session or before it, by non-cash transfer to the details provided by the Provider.

4.3. The currency of settlement is set by agreement between the parties. Bank fees related to the transfer are borne by the Client, unless the parties agree otherwise.

4.4. A service is deemed paid from the moment the funds are credited to the Provider’s account.

5. Procedure for Provision of Services

5.1. A session takes place at the date and time agreed in advance.

5.2. The duration of one session is 50 minutes, unless the parties agree otherwise.

5.3. Where appropriate, the Provider may, at their discretion, provide additional materials or recommendations within the subject of the services.

6. Cancellation, Rescheduling and Refunds

6.1. The Client may reschedule or cancel a scheduled session by notifying the Provider no later than 24 hours before its start.

6.2. The Client shall pay for the session in full. If a cancelled session is rescheduled within the same week, payment for the cancelled session is not retained.

6.3. If a prepaid session was not provided due to the Provider’s fault, the session is rescheduled by agreement between the parties.

7. Rights and Obligations of the Parties

7.1. The Provider undertakes to provide the services diligently and with due quality, to agree the timing of sessions, and to maintain confidentiality in accordance with Section 8.

7.2. The Client undertakes to pay for the services on time, to keep to the agreed session times, and to provide the information necessary for the provision of the services.

7.3. Either party may initiate termination of the cooperation by notifying the other party; services already duly provided and paid for are not subject to recalculation.

8. Confidentiality and Personal Data

8.1. The Provider maintains the confidentiality of information obtained while providing the services and does not disclose it to third parties, except in cases expressly provided for by law.

8.2. The Client’s personal data is processed solely for the purpose of providing the services and in accordance with applicable data protection legislation. By accepting the Offer, the Client consents to such processing.

8.3. An exception to confidentiality applies where disclosure is required by law or is necessary to prevent a real threat to life or health.

9. Liability and Limitations

9.1. The services are advisory in nature. The Provider applies professional effort but does not guarantee a specific result, as it also depends on the Client’s own actions.

9.2. The services are not medical care and do not replace diagnosis or treatment. Where conditions require medical intervention, the Client should consult an appropriate specialist.

9.3. The Provider is not liable for any inability to provide the services due to technical failures on the Client’s side (connection, equipment, etc.).

10. Term and Amendments to the Offer

10.1. The Agreement enters into force from the moment of acceptance and remains in effect until the parties have fully performed their obligations.

10.2. The Provider may amend the terms of the Offer by publishing a new version at the same link. Amendments take effect from the date of the relevant version and do not apply to services paid for before they take effect.
